Alltel Corporation (Alltel) provides wireless voice and data communications services to more than 13 million customers in 34 states. Through roaming arrangements with other carriers, Alltel is able to offer its customers wireless services covering more than 95% of the United States population. Alltel manages its wireless business as a single operating segment, wireless communications services. On November 16, 2007, it was acquired by Atlantis Holdings LLC (Atlantis Holdings or Parent) and an affiliate of private investment funds TPG Partners V, L.P. and GS Capital Partners VI Fund, L.P. (together the Sponsors). The acquisition was completed through the merger of Atlantis Merger Sub, Inc. (Merger Sub), a wholly owned subsidiary of Parent, with and into Alltel (the Merger), with Alltel surviving the Merger as a privately held, majority-owned subsidiary of Parent. In January 2009, Verizon Wireless, a joint venture of Vodafone Group Plc and Verizon Communications, acquired the Company.
