The principal business of the Company is the identification and evaluation of assets or businesses with a view to completing a qualifying transaction. As of December 31, 2008, Chairman Capital Corp. had not commenced commercial operations. On February 19, 2008, and as amended on May 30, 2008 and June 26, 2008, the Company entered into a letter of intent with Rockport Mining Corp. (Rockport) in respect of a proposed qualifying transaction.
