MDI, Inc. (MDI) is engaged in manufacturing and marketing enterprise-grade physical and electronic security technologies that include open architecture security command and control software, intelligent access control hardware and video surveillance management solutions. During the year ended December 31, 2007, the Company began its LearnSafe Initiative in order to provide a safety and security program for public and private school systems. MDI is engaged in three lines of business: Physical and Electronic Security, School Safety and Construction Management and Contractor Services. The Company has two segments: physical security and FAS. In October 2007, MDI completed the acquisition of FAS Construction Management, Inc. (FAS) and STC Holdings, Inc. On September 1, 2007, the Company completed the sale of ABM Data Systems business (ABM Business) to American Business Monitoring Systems, LLC.
