Asia Entertainment & Resources Ltd. (Asia Entertainment) is a holding company that conducts its primary business operations through its wholly owned subsidiary, Asia Gaming & Resort Limited (AGRL), and its subsidiaries. AGRL is an investment holding company of subsidiaries that, through profit interest agreements with affiliated companies known as VIP gaming promoters, are entitled to receive all of the profits of AGRL�s VIP gaming promoters from VIP gaming rooms promoted by AGRL�s VIP gaming promoters in casinos at major hotels in Macau. On May 18, 2011, Asia Entertainment opened VIP Room at New Galaxy Macau Resort. On November 10, 2010, the Company acquired 100% of the profit interest in King�s Gaming Promotion Limited (King�s Gaming). On February 2, 2010, it consummated a business combination, pursuant to which it acquired all of the outstanding capital stock of AGRL from Spring Fortune Investment Ltd. Prior to the business combination with AGRL, it had no operating business.
