The Company is the bank holding company of BSB Bank & Trust Company (the Bank), a state-chartered commercial bank and trust company. The Bank originates real estate mortgages, residential and commercial, consumer loans and commercial business loans throughout its primary market area utilizing customer deposits and borrowings. The primary market area of the Bank includes Broome, Chenango, Onondaga and Tioga Counties of New York, with services provided by 20 full-service branches, as of December 31, 2003. In July 2004, the Company was acquired by Partners Trust Financial Group, Inc., which offers a variety of business and retail banking products, as well as a full range of trust, investment and municipal banking services.
