aeroTelesis Inc. (aeroTelesis) is a technology-driven service provider that will potentially enable satellite and wireless companies to maximize their bandwidth utilization. aeroTelesis’ technology partner, Photron Technologies Ltd. (Photron) is the developer of a technology platform called Ultra Spectral Modulation (USM). USM is a modulation technique that increases spectral efficiency in satellite and wireless applications. The Company has the license from Photron to distribute USM-related products and services. In May 2006, the Company entered into a term sheet (2006 License Agreement) with Photron Technologies, Ltd. (Photron) for licensing of the USM technology. Pursuant to the 2006 License Agreement, aeroTelesis has the right to acquire the license for USM, for each country or region, in perpetuity, for all services to be offered by the Company that use the USM technology in such country or region.
