The Scotts Miracle-Gro Company (Scotts Miracle-Gro), along with its subsidiaries, is engaged in the manufacturing, marketing and sale of lawn and garden care products. The Company is a marketer of lawn fertilizer, grass seed and growing media products within the United States. During the fiscal year ended September 30, 2009 (fiscal 2009), the Company operated in four segments: Global Consumer, Global Professional, Scotts LawnService, and Corporate and Other. The Company’s primary customers include home centers, mass merchandisers, warehouse clubs, large hardware chains, independent hardware stores, nurseries, garden centers, food and drug stores, commercial nurseries and greenhouses, and specialty crop growers. The Company also operates the Scotts LawnService business, which provides residential lawn care, lawn aeration, tree and shrub care and limited pest control services in the United States. Effective October 1, 2008, the Company acquired Humax Horticulture Limited.
