Google Advertising Professional Program Rules of Use
You must read, agree with and accept all of the policies below (the "Rules") before
you may participate in the Google Advertising Professionals program. "You" or "you" means the party listed on the account you are currently
logged into and you represent you have the authority to agree to these Rules for that party. By clicking "I accept" below, you accept and acknowledge
AdWords Program Use. Your use of advertising, account management and features offered by Google currently under the name "AdWords" (including the Google
Advertising Professional features, the "AdWords program") is still governed by the separate AdWords program Terms and Conditions you have already
entered into with Google (the "Terms and Conditions"). Your Terms and Conditions and any other written agreements with Google will take precedence
over these Rules if the Rules conflict with the Terms and Conditions or such other written agreements.
The Advertising Professionals Program
Being a Google Advertising Professional. This is a non-exclusive program. The Google Advertising Professional features and these Rules do not empower
either you or Google to obligate, bind or act as agent for the other in any way and do not create a joint venture, employment relationship, partnership,
or other business entity of any kind. You: (i) are responsible for your acts and omissions; (ii) must not violate any Google policies, Google terms
and conditions, applicable laws or regulations; (iii) must not practice any deceptive, illegal, unethical, false or misleading practices with regard
to your participation as a Google Advertising Professional; and (iv) must obtain all consents, authorizations and permits required for you to perform
under and related to these Rules, including without limitation to act on behalf of and bind to these Rules, any third party to whom you provide AdWords
Program related services. Nothing in these Rules grants any implied rights to you. Google retains all of its right, title and interest in and to
all of its intellectual property.
Performing as a Google Advertising Professional. You must perform under these Rules and
service your AdWords program customers in a professional, responsive and workmanlike manner consistent with reasonable industry standards and
in accordance with these Rules. To the extent any other features, programs, materials or tools (e.g. APIs, marketing collateral, testing programs
or logos) are supplied by Google and you choose to use them, you must use them only consistent with these Rules and any additional terms supplied
by Google for those features. You are responsible for collecting payment from your customers and remitting any due payments to Google consistent
with your Terms and Conditions. You agree and must notify your customers that you are not employed, endorsed or approved by, or a contractor
of, Google. PARTICIPATING IN THE GOOGLE ADVERTISING PROFESSIONAL PROGRAM IS A PRIVILEGE THAT MAY BE REVOKED BY GOOGLE AT ANY TIME FOR ANY OR
Google Advertising Professionals. Subject to these Rules, you may identify yourself as a Google Advertising Professional on your website and in your
Qualified Google Advertising Professionals. If you become a Qualified Google Advertising
Professional, Google grants you, subject to these Rules, a non-exclusive, non-transferable, non-sublicenseable license to use the Qualified
Google Advertising Professional Logo made available to you by Google solely on your website and in your marketing materials and solely according
to the Google Advertising Professional brand use guidelines posted at https://adwords.google.com/support/select/professionals/bin/answer.py?answer=12777.
You may not display the Qualified Google Advertising Professional Logo in connection with or near a search box.
All Brand Feature use. Except as expressly set forth above, neither these Rules nor the
Google Advertising Professionals program grant you any rights to Google Brand Features (defined below). Google may withdraw any license to the
logo, the ability to identify yourself as a Google Advertising Professional or any other Google Brand Features, at any time for any or no reason.
You may not alter Brand Features in any way at any time (for example, changing color or size) without Google's prior written permission. You
may not display Brand Features on, or associate Brand Features with, any adult or illegal content. Goodwill in the Brand Features will inure
only to Google's benefit and you obtain no rights with respect to any of them. You irrevocably assign and must assign to Google any right,
title and interest that you obtain in any of Google's Brand Features. You must not at any time challenge or assist others to challenge Brand
Features or their registration (except to the extent you can't give up that right by law) or attempt to register any trademarks, marks or trade
names confusingly similar to Google's. "Brand Features" means the trade names, trademarks, service marks, logos, domain names and other
distinctive brand features of Google, including without limitation "Google Advertising Professional," and the qualification logo described
above. This paragraph survives any termination or expiration of these Rules.
Google may cancel or modify these Rules or the Google Advertising Professional program at any time for any or no reason. Your participation in the Google Advertising Professional program is voluntary and signifies
your agreement with these Rules, but you may stop using any or all of the features, materials or tools (e.g. APIs, marketing collateral, testing programs or logos) of the Google Advertising Professional program at any
time. Termination or expiration of the Rules will not relieve you of any payment obligations already owed to Google and will not relieve you of other agreements entered into with Google (for example, any AdWords Programs Terms
and Conditions still in effect). In the event of nonpayment of all or any portion of an account, Google reserves the right to immediately suspend or cancel the entire account or any part of an account. If Google cancels
these Rules or the Google Advertising Professional program expires or terminates, you must cease to participate as a Google Advertising Professional and cease using any Brand Features.
The Legal Disclaimers
GOOGLE, ITS LICENSORS AND SUPPLIERS MAKE NO, AND DISCLAIM ALL, WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WITH RESPECT TO THESE RULES
AND THE GOOGLE ADVERTISING PROFESSIONAL PROGRAM AND EXPRESSLY DISCLAIM THE WARRANTIES OR CONDITIONS OF NONINFRINGEMENT, MERCHANTABILITY AND FITNESS
FOR ANY PARTICULAR PURPOSE. You shall defend, settle and hold Google, its agents, affiliates, and licensors harmless from any third party claim or liability (including without limitation reasonable legal fees) arising out of: (i) your use of the Google Advertising Professional
program; (ii) your use of Google Brand Features in a manner inconsistent with the Rules or Google's written instructions; (iii) an alleged breach
by you of these Rules; and (iv) any claims by your customers in connection with the AdWords program.
